Gilbert + Tobin (G+T) has advised Amur Minerals Corporation (Amur) in connection with its strategic investment in Nathan River Resources (NRR), an Australian iron ore producer.

Amur (AMC:L) is listed on the AIM Market of the London Stock Exchange and focuses on nickel and sulphide mineral exploration and resource development in Russia.

Amur’s investment was undertaken through Carlo Holdings Limited (Carlo), a special purpose company acquired by Amur as part of the financing arrangements.

Carlo has subscribed for US$4.67 million (A$6.5 million) convertible notes issued by NRR, which will entitle Amur to acquire a stake of up to 19% in NRR.

The proceeds of the convertible note subscription will be used to finance NRR’s development of the Roper Bar Iron Ore Project in the Northern Territory in Australia.  The iron ore produced by the Project will be marketed and distributed via off-take arrangements (for further information please use the following link: https://www.londonstockexchange.com/news-article/AMC/equity-placing-to-raise-ps6-1-million/14664721).

G+T acted on all aspects of the investment including the preliminary due diligence, all regulatory approvals and the convertible note investment. G+T is also acting in relation to the establishment of certain facilities associated with the off-take arrangements.
