Transformation

Gilbert + Tobin is "lauded for its "in-depth knowledge of current TMT developments, which allows clients to get straight to the point." - Chambers Global 2009

Gilbert + Tobin’s transformation team is made up of Australia’s leading advisors to participants involved in technology-related transformation and outsourcing. We act for buyers, suppliers, consultants and users and our technical expertise is second to none.Known for our creativity and hands-on approach, we help clients achieve successful outcomes from intrinsically risky and high profile projects. Our experience demonstrates that we can drive large, complex deals that have potential to impact upon our clients’ business critical systems. Our clients consider Gilbert + Tobin lawyers to be business people who bring client understanding, industry knowledge and experiences which qualify them to advise on more than just legal issues if required. We have a strong understanding of the “real world” requirements of providing legal deliverables for large, complex organisations and tailoring advice and outputs for a range of users.

Our services

We advise our clients on all aspects of IT and outsourcing projects. We understand legal and commercial risks in technology transactions, and work closely with our clients to assist in managing such risks. We have a track record of being part of client teams that have successfully delivered projects involving some of the region’s most sophisticated technology users and suppliers.

In addition to helping clients implement IT and outsourcing arrangements, we also help our clients manage the ongoing challenges and complexities implicit in such arrangements (such as undertaking strategic reviews and compliance audits), as well as assisting in the transition-out of such arrangements. This means that we bring a whole-of-life-cycle perspective to our work.

Our lawyers have experience over many years in:

  • large and complex IT, telecommunications and outsourcing transactions
  • business process and IT and telecommunications outsourcing and offshoring
  • transformation projects
  • systems integration
  • panel arrangements
  • due diligence
  • shared services arrangements and
  • post-merger integration.

We know IT and we know the IT industry, having negotiated agreements for clients with all major IT suppliers. We have negotiated agreements for clients with most major IT and telecommunications suppliers including IBM, HP (and, separately, EDS), CSC, Nokia-Siemens Networks, Alcatel-Lucent, Ericsson, Huawei, ZTE, Wipro, Infosys, Tata, Accenture, Fujitsu, Unisys, Oracle, Microsoft and SAP.The transformation group is not siloed within the firm. We are integrated with the communications, TMT-Transactions and competition and regulatory groups, which allows us to draw on relevant experience as needed in any given project, and allows us to take a holistic view of major change programs.

Serving Asia with an international perspective

While based in Sydney, we make distance no issue for our clients. We work in our clients’ business hours, not our own – over timezones from the Middle East to the mid-Pacific. Our team of experts – technology, regulatory, financing, corporate and commercial – are based here in Asia – we don’t rely on fly-in experts from outside the region.

Gilbert + Tobin has formed a strategic alliance with King and Wood, China’s largest law firm. The firms work together to provide China savvy advice to global, regional and PRC-based technology clients.

Our team stays “up to speed” with industry developments and trends, including by talking to customers in other jurisdictions, in particular the UK and the US, about analogous transactions to those of our clients. We also travel to, and maintain connections with, our legal network in offshore locations (such as India and the Philippines) so that we can better assist in managing our clients’ legal risks whether they are contracting offshore or domestically.
