Biography

Justin is a partner in Gilbert + Tobin’s Energy + Resources group.

He specialises in energy and resources law and has advised clients in both the mining and oil & gas industries on a wide range of commercial and resources transactions.

In the mining sector, Justin has advised Australian publicly listed mining and resources companies on private M&A transactions, drafting and advising upon terms of venture and farm-in agreements, mining contracts, general procurement, access agreements, mining services agreements, engineering and construction contracts (for both brownfield and greenfield developments), commodity sales and transportation agreements and on major projects developed under State Agreements.

In the oil and gas sector, Justin has advised companies on asset sales, farm-in and joint venture arrangements, gas sales and transportation agreements and LNG developments.

Justin holds a Bachelor of Laws from Murdoch University and a Bachelor of Arts from the University of Western Australia.

Justin’s experience includes advising:

  • Talison Lithium on a major contractual dispute relating to its mining operations at Greenbushes, the world’s biggest lithium mine.
  • Todd Corporation on the development of a $3+ billion greenfield iron ore mine, rail and port project in the central Pilbara region of Western Australia, including the negotiation of a State Agreement for its rail project.
  • CNOOC NWS on its participation in the North West Shelf LNG project in Western Australia.
  • Beach Energy Limited on its acquisition of participating interests in the Otway Gas Project and the BassGas Project from Toyota Tsusho Corporation and related parties.
  • Wesfarmers Limited on its US$100m acquisition of a 13.7% interest in Quadrant Energy Holdings Pty Ltd, a special purpose vehicle established by Macquarie and Brookfield to acquire Apache Corporation's oil and gas assets in Western Australia.
  • Santos Ltd in relation to its divestment of a 60% interest in the Petrel, Tern & Frigate gas fields to GDF Suez for $450 million.
  • Santos Limited on the $1.3 billion selldown of interests in the $16 billion Gladstone LNG project to Total and KOGAS, with concurrent $120 billion offtake commitments.
  • Apache Energy on its investment into and joint development of the Wheatstone LNG Project in Western Australia.
  • Apache Energy on the restructure of its offshore petroleum interests, including the acquisition of an additional interest in the Novara and Coniston oilfields.
  • Inpex on its proposed offshore LNG project in the Browse Basin, including the drafting and negotiation of the upstream joint venture and gas marketing agreements.
  • BHP Billiton Petroleum (Australia) Pty Ltd on its domestic gas marketing agreements.
  • BHP Billiton Petroleum (Australia) Pty Ltd on a gas pipeline sale agreement and associated access and gas transportation agreements.
  • Epic Energy on its gas pipeline operations around Australia, including the terms of various gas transportation agreements and the lease of the Burrup Extension Pipeline to DBP.
  • Crosslands Resources Ltd on tenure issues relating to its natural gas pipeline from the Jack Hills iron ore mine.
  • Tangiers Petroleum on its off-market takeover bid for Jacka Resources Ltd.
