  • Woolworths Holdings Limited (South Africa) - advising on its $2.15 billion acquisition of David Jones Limited by scheme of arrangement, and its successful $17 per share takeover bid of Country Road Limited.
  • Consortium comprising TPG Asia, Inc, Hong Kong investment manager PAG Asia Capital and Canada’s Ontario Teachers’ Pension Plan - advising on its $1.215 billion acquisition of DTZ, a global property services business from UGL Limited.
  • –Orica Limited - advising on the $750m disposal of its chemicals business to funds advised by Blackstone.
  • Aquis Group - advising on its proposed acquisition by takeover bid of the Reef Casino Trust and on its successful acquisition of Casino Canberra from Casinos Austria.
  • Vitol - advising on the $2.9 billion acquisition of Shell’s Australian downstream assets, including the Geelong Refinery and 870 retail sites across the country.
  • Pacific Equity Partners - advising on the $1.8 billion initial public offering of Spotless Group Holdings Limited.
  • –Telstra - advising in relation to is acquisition of Pacnet.
  • Blackstone - advising on the stamp duty consequences relating to its US$9.4 billion acquisition of Centro Group’s U.S. assets and platform.
  • Bain Capital - advising in connection with the income tax consequences associated with its acquisition of IMCD Group BV.
  • CommonWealth REIT (NYSE:CWH) - advising on the income tax and stamp duty consequences relating to its acquisition of the MacarthurCook Industrial Property Fund (ASX:MIF) (enterprise value approximately $90 million).
  • Stella Travel Services (Stella) and funds advised by CVC Asia Pacific - advising on all aspects of the successful merger of Stella and Jetset Travelworld valued at approximately $400 million, including in relation to certain income tax, stamp duty and GST consequences associated with the merger.
  • Fletcher Building - advising in relation to its acquisitions of Australian Construction Products Pty Limited and Crane Group Limited, including advising in relation to direct and indirect tax matters.
  • NSW Maritime - advising on the stamp duty and GST consequences relating to the redevelopment of the Rozelle Bay Super Yacht Marina and the redevelopment of land at Blackwattle Bay in Sydney.
  • Holcim Limited - advising a leading global cement, concrete and aggregates business, on certain income tax, stamp duty and GST matters relating to its $2.02 billion acquisition of Cemex’s Australian assets. The acquisition involved a number of challenging aspects including a very compressed negotiation timeframe and multiple cross-border elements.
  • Transfield Services Infrastructure Limited - advising on the stamp duty, GST and income tax consequences relating to the refinancing of the project financing of the Macarthur Water Treatment Plant.
