Gilbert + Tobin has advised Concept Fertility on its sale to IVFAustralia, a member of Virtus Health, the fifth largest provider of assisted reproductive services globally and a portfolio company of private equity firm BGH Capital.

Founded in 1982, Concept Fertility pioneered the use of IVF in Western Australia and has provided fertility treatment and related reproductive services to patients in Perth for over 40 years. The transaction will see Concept Fertility become part of a nationwide network of more than 50 clinics in the IVFAustralia and Virtus Health group, while continuing to provide Western Australian patients with comprehensive, patient-centred fertility care. By retaining its Perth-based clinical expertise and gaining access to the broader scale of one of Australia’s leading fertility care networks, Concept Fertility is well-positioned for its next phase of growth.

G+T worked closely with Concept Fertility's financial and tax advisers to advise on transaction structuring, and the execution of the sale documentation and related property arrangements. The G+T team was led by Corporate Advisory partner David Josselsohn, with support from Meng-Yeow Lim, Rachael Griffiths-Szeto and Cameron Wade. The Corporate Advisory team was supported by Real Estate partner Amanda Hempel, with support from special counsel Jo Bayes.

Commenting on the transaction, David Josselsohn said:

We are delighted to have advised Concept Fertility on this transaction. Concept Fertility has built a trusted and highly regarded fertility practice in Western Australia, and this combination with IVFAustralia represents an exciting next chapter for the business, its clinicians and its patients.
