Callum Fleming

Biography

Callum is a special counsel in our Corporate Advisory group.

He specialises in acting on mergers and acquisitions (particularly takeovers and schemes of arrangement), equity capital markets transactions, corporate restructures, securities law, foreign investment applications, ASX Listing Rules and general corporate advisory work.

Callum has advised on a wide range of public and private M&A and ECM deals, with a particular focus on the energy and resources, and engineering and mining services sectors.

Experience

Callum’s experience includes advising:

  • Alto Metals Limited in relation to its $45 million acquisition by Brightstar Resources Limited by means of a scheme of arrangement.

  • Leonoil Company Limited of Sierra Leone in relation to its $76.4 million recommended takeover bid for Sierra Rutile Holdings Ltd

  • Linden Gold Alliance Limited on the reverse takeover of Linden by Brightstar Resources Limited, forming a mid-tier gold producer with a pro forma market capitalisation of approximately $75 million

  • Mineral Resources Limited in relation to its $503 million unsolicited scrip takeover bid for Norwest Energy NL and 20% stake acquisition in Warrego Energy Ltd (subsequently acquired by Hancock Prospecting)

  • Catalyst Metals Limited on its $66 million recommended scrip takeover bid for Vango Mining Limited

  • Genesis Minerals on its initial recommended scrip takeover bid for control of Dacian Gold Limited in 2022, and subsequent takeover bid for the minorities in 2023, valuing the target at $223 million

  • Genesis Minerals Limited in relation to its $100 million two-tranche placement to institutional and professional investors

  • De Grey Mining Limited in relation to its fully underwritten $300 million two tranche placement to maintain momentum of its Hemi Gold Project advancement towards production

  • De Grey Mining Limited on its $150 million capital raising, comprising a $130 million fully underwritten institutional placement and $20 million share purchase plan

  • Sandfire Resources Limited in relation to its $200 million placement and ANREO in 2022
