Biography

Kevin is a partner in our Corporate Advisory group.

A highly experienced strategic M&A adviser, Kevin frequently acts for clients across a diverse range of sectors on some of Australia’s most prominent and complex deals, including takeovers (friendly and hostile), schemes of arrangement and private M&A deals.

Kevin’s practice extends to a broad range of corporate and securities law matters, including equity capital markets transactions, complex joint ventures, directors’ duties, continuous disclosure, corporate governance, ASX listing rules and foreign investment.

Highly regarded for his client-centric approach, Kevin is known for his ability to deliver commercially-focused outcomes to help clients mitigate risks and seize opportunities in an increasingly complex regulatory environment.

  • Vocus on its proposed ~$5.25 billion acquisition of TPG Telecom’s enterprise, government and wholesale assets and associated fixed infrastructure assets.

  • Fresenius Medical Care on its competitive sale of the Cura Day Hospitals business.

  • Cromwell Property Group on its proposed $1.1 billion merger of Cromwell Direct Property Fund with Australian Unity Diversified Property Fund and acquisition of associated management rights.

  • Orcon on its $1.7 billion merger with 2degrees to create the third largest telco in New Zealand.

  • Macquarie Infrastructure and Real Assets (MIRA) and Aware Super on their $3.5 billion acquisition of Vocus Group Limited by scheme of arrangement.

  • Johnson Controls Inc on the competitive sale of its ADT security business in Australia and New Zealand.

  • MIRA on its $2.4 billion acquisition of Bingo Industries Limited by scheme of arrangement.

  • Yancoal on its response to the unsolicited take private proposal from Yankuang Energy valuing Yancoal at $7 billion.

  • Investa Property Group on the $3.4 billion contested acquisition by trust scheme of Investa Office Fund between Oxford Properties (OMERS) and Blackstone.

  • SG Fleet on its acquisition of LeasePlan.

  • Ramsay Health Care and Sime Darby on the proposed $1.8 billion sale of Ramsay Sime Darby Health Care.

  • SiteMinder on its pre-IPO raising with BlackRock, Pendal, Australian Super, Goldman Sachs, and Ellerston Capital.

  • Yancoal on its successful US$3.4 billion contested acquisition of Coal & Allied Industries from Rio Tinto and associated US$2.5 billion capital raising.
