Rachael Bassil

Biography

Rachael is a partner in our Corporate Advisory group.

She works with private capital sponsors, listed companies and corporates on acquisitions, exits and transformational M&A. Rachael works closely with private capital sponsors at every stage of their investments including private acquisitions, partnering with founders, public-to-private transactions (by way of scheme or takeover), bolt-on acquisitions and exits including managing auction processes and IPOs.

She specialises in mergers and acquisitions, equity capital market transactions and advising on securities law and listing rules matters generally.

Experience

Rachael’s experience includes advising:

  • Afterpay on the acquisition of Afterpay by Block, Inc (Formerly Square, Inc.), a NYSE-listed company operating in the payments space, via an all-scrip scheme of arrangement. The transaction values Afterpay at $39 billion and is the largest public M&A deal in Australia’s history and the largest cross border fintech deal globally.

  • Blackstone on its structured investment in Symphony Infrastructure Partners, Australia’s leading energy transition infrastructure services platform.

  • Adore Beauty on its IPO and subsequent acquisition of iKou.

  • Five V Capital on its acquisition of Permaconn and its subsequent bolt on acquisition of Romteck.

  • The founders of Noggin on its sale to Motorola Solutions.

  • BB Retail Capital on its acquisition of Best & Less via an off-market takeover offer and investment in Australian fashion designer and retailer Dissh.

  • Next Capital on its acquisition of furniture retailer GlobeWest.

  • Universal Store Holdings Limited (ASX: UNI) on its IPO and subsequent acquisition of Cheap THRILLS.

  • Quadrant Private Equity on various acquisitions including Darrell Lea and TEEG.

  • Quadrant Growth on its acquisition and subsequent sale of the Modibodi Group to Essity.

  • TPG on its acquisition of Greencross and the partial selldown by existing shareholders in Greencross to Australian Super and HOOPP.

  • Peter Warren Automotive on its IPO and several subsequent bolt-on acquisitions.

  • L Catterton on the sale of each of RM Williams, Seafolly and 2XU.
