Sam Jaffray

Biography

Sam is a special counsel in our Corporate Advisory group.

He has significant experience at major law firms in the UK, Australia and New Zealand.

Sam has assisted corporates, asset/investment managers, founders, family offices and governments on the acquisition and disposal of assets and companies (both regulated and private treaty), joint ventures, equity arrangements, capital raisings, reorganisations and commercial contracts.

He has advised clients on transformational transactions in a range of sectors and jurisdictions. Sam has also completed the Level 1 and Level 2 CFA examinations.

Experience

Sam’s experience includes advising:

  • Healthcare Innovation Investment Partners on its acquisition of CareMonitor, a digital health platform.

  • DASH Technology Group, a financial planning and platform fintech, on its cornerstone investment from Bailador Technology Investments, and on its acquisition of Integrated Portfolio Solutions.

  • IFM Investors on its sale of My Plan Manager, a NDIS plan manager, to a NYSE-listed buyer, Gallagher Bassett. 

  • The founders of Fermentum, the owner of the Byron Bay beer brand, Stone & Wood, on its sale to Lion Brewing. 

  • The founder of Loco Love, the Byron Bay gourmet chocolate business, on the sale of a majority stake to Light Warrior, the family office of Radek Sali.

  • Silver Lake Partners on its proposed sale of TEG, the owner of Ticketek, and on its investment in Michael Cassel Group. 

  • Armitage Associates on the establishment of a multi-asset continuation fund holding majority interests in BlueFit (a facilities management business) and SASH (a veterinary business), with LGT as lead investor, by way of a competitive process.

  • Qantas Superannuation on its investment in a multi-asset continuation fund managed by Liverpool Partners, which holds majority interests in technology companies, Orro and Seisma. 

  • Authentic Brands Group on its acquisition from Oaktree Capital of Boardriders, which owns prominent Australian brands such as Quiksilver, Billabong and Roxy, and on its subsequent carve out of the Asia-Pacific business. 

  • New York-based Olympus Partners on a series of transactions in the Australian manufacturing industry.

  • The founder of Bremick, a manufacturing business, on its investment from Crescent Capital by way of a competitive process.

  • Mercury Capital on its majority investment in Matrix Education, and on the establishment of a landscaping platform by way of a series of acquisitions, including Green Options and Skyline Landscape Services. 

  • Genesis Capital on the acquisition of About Smiles by its dentistry platform, Impression Dental Group, and also on the sale of Smart Clinics to Livingbridge to establish a medical centre platform. 

  • The doctor shareholders on the sale by Quadrant Private Equity of Qscan Group Holdings to HMRL Morrison and Infratil. 

  • Pinnacle Investment Management on its cornerstone investment in Five V Capital Group, as general partner, by way of a novel hybrid equity structure (known as a ‘GP stakes’ deal).  

  • eftpos Payments Australia Limited on its acquisition of Digital Wallet, the owner of the ‘Beem It’ app, from Commonwealth Bank of Australia, National Australia Bank Limited and Westpac Banking Corporation. 

  • ASX-listed Cardno, an engineering and environmental consultancy, on the sale of its Americas Consulting and Asia-Pacific Consulting divisions to Stantec. 

  • Infigen Energy (Australia’s largest listed renewable energy generator) on its competing takeover bids from Iberdrola and UAC.
