Biography

    Sarah is a partner in Gilbert + Tobin's Corporate Advisory group.

    Her expertise covers primarily capital raisings, takeovers, schemes of arrangement and ASX compliance matters. Sarah has co-authored and presented numerous papers on global legal issues and directors' duties.

    Sarah has a Bachelor of Laws (Distinction) from the University of Western Australia and was admitted to practice in late 2001.

    Sarah’s ECM experience includes advising:

    • Pacific Smiles on its defence following receipt of a non-binding proposal from Genesis Capital. 
    • De Grey Mining Limited in relation to its fully underwritten $300 million two tranche placement to maintain momentum of its Hemi Gold Project advancement towards production and its $150 million equity raise in the form of a $130 million institutional placement and $20 million share purchase plan.
    • BCI Minerals Limited in relation to the issue of convertible notes with a face value of $60 million to AustralianSuper and Wroxby Pty Ltd and on its $360 million capital raising, as part of its broader $1.2 billion funding package for its Mardie Salt and Potash project and on its issue of $60 million in convertible notes to AustralianSuper and Wroxby Pty Ltd. 
    • IMDEX Limited on its $224 million equity raising (consisting of a fully underwritten $221 million ANREO and institutional placement, and a $3 million conditional placement) to fund the acquisition of Devico AS.
    • Mincor Resources NL on its $60 million capital raising, comprising a fully underwritten placement ($55 million) and a non-underwritten share purchase plan ($5m).
    • Sandfire Resources Limited on its $1.248 billion equity raising to fund the acquisition of MATSA and on its $200 million placement and ANREO to provide additional balance sheet flexibility.
    • Ora Banda Mining Limited on its $30 million institutional placement to fund the estimated capital cost of its Riverina underground mine and drilling to progress resource development and exploration activities.
    • Panoramic Resources Limited in relation to its $40 million placement and $5 million share purchase plan, and
    • Westgold Resources Limited on its placement of up to approximately $100 million (before costs). 
       

    Sarah’s M&A experience includes advising:

    • Ora Banda Mining Limited on its joint venture and farm-in agreement with a wholly-owned company of the Wesfarmers Chemicals, Energy & Fertilisers division for $26 million cash consideration and a 2% royalty, together with separate on-sale of part of the royalty to Hawke’s Point for a further $4 million.
    • Mincor Resources NL in relation to its defence of the on-market takeover bid by Wyloo Consolidated Investments Pty Ltd for an implied equity value of $760 million.
    • Venus Metals Corporation Limited on the sale of its joint venture interests in the Youanmi Gold Project to Rox Resources Limited.
    • Deep Yellow Limited on its $658 million acquisition of Vimy Resources Limited by scheme of arrangement.
    • Altamin Limited on its $38 million sale of the assets comprising the Gorno Project to Vedra metals SRL, a special purpose joint venture company owned by Altamin Limited and Appian Italy B.V. following completion under the binding subscription and joint venture agreement between these two entities, and on its defence of the $37.5 million off-market takeover bid by VBS Exchange Pty Limited.
