Justin Mannolini

Biography

Justin is a partner in our Corporate Advisory group and co-leads our Metals and Mining team.

He has more than 25 years' corporate finance experience as a lawyer and investment banker. He has advised on a wide range of M&A and equity capital markets transactions across a number of industry sectors including energy and resources, financial services, technology, media & telecommunications, engineering and mining services, food and beverage and real estate.

Justin also advises clients on corporate governance issues including entity formation and structuring, shareholder activism, audit and risk management, directors’ duties and corporate social responsibility.

Justin was an Executive Director in Macquarie Group's investment banking division in Perth from March 2013 to May 2016. Prior to Macquarie, he was Managing Director of Gresham Advisory Partners, the head of Gresham's Perth office and a partner at another prominent legal firm in Sydney and Perth.

Justin’s experience includes advising:

  • Alto Metals Limited in relation to its proposed $44 million acquisition by Brightstar Resources Limited by means of a scheme of arrangement.

  • Leonoil Corporation of Sierra Leone in relation to its $72.8 million takeover bid for Sierra Rutile.

  • Chalice Mining Limited in relation to its Strategic Partnership with Mitsubishi Corporation for the development of the Gonneville Ni-Cu-PGE Project in Western Australia.

  • Develop Global Limited in relation to its $155 million acquisition of Essential Metals Limited by scheme of arrangement and associated $50m placement and ANREO.

  • Mincor Resources NL in relation to its response to the $725m unsolicited cash takeover bid by Wyloo Metals.

  • Mineral Resources Limited in relation to its successful $503m unsolicited scrip takeover bid for Norwest Energy NL and 20% stake acquisition in Warrego Energy Ltd (subsequently acquired by Hancock Prospecting).

  • Catalyst Metals Limited on its $66m recommended scrip takeover bid for Vango Mining Limited, $22m capital raising and $40m merger with Superior Gold Inc by means of Canadian plan of arrangement.

  • Sandfire Resources Limited in relation to its $200m placement and ANREO to provide additional balance sheet flexibility following the acquisition of the MATSA mining complex.

  • Genesis Minerals on its initial recommended scrip takeover bid for control of Dacian Gold Limited, and subsequent takeover bid for the minorities, valuing the target at $223 million.
