Gilbert + Tobin congratulates long-standing client MAC Copper Limited (NYSE: MTAL; ASX: MAC) on the successful implementation of its scheme of arrangement with Harmony Gold Mining Company Limited (JSE: HAR; NYSE: HMY).
The transaction, announced in May 2025 and sanctioned by the Royal Court of Jersey earlier this month, sees Harmony Gold acquire 100% of the issued share capital of MAC Copper. This marks the conclusion of a complex, multi-jurisdictional transaction spanning Australia, US, South Africa and Jersey - and a defining milestone in the global copper sector.
G+T advised MAC Copper from the outset, providing integrated support across M&A, corporate, competition, foreign investment, equity capital markets, tax and regulatory approvals.
“This is a major milestone for MAC Copper, and for everyone involved,” said Simon Rear, Corporate Partner at G+T.
We’ve been proud to support MAC through its ASX listing, its follow on raising and on this transaction from early strategy through to execution, bringing together the right teams to help deliver a transformative outcome. The board and executive team at MAC Copper is first rate, and it has been an absolute privilege and an honour to advise the Board, Mick, Morne, Chris and the wider MAC Copper team. We cannot speak highly enough of the sell-side advisory team, Barrenjoey, Skaddens, Ogier and PwC Tax, it was a pleasure to work with you all and the team was cohesive and collaborative. We wish Harmony all the best with this outstanding asset and know that it is in good hands.
G+T advised MAC Copper on all Australian legal aspects of the scheme, providing corporate and M&A advice on structure and execution, securing regulatory clearances across multiple jurisdictions, managing foreign investment and cross-border engagement with regulators and exchanges and offering strategic support on communications, disclosure and implementation
